What are the Differences? There are essentially no size or registration requirements for a stock to trade on the Pink Sheets. And, a Pink Sheet listing does not preclude being listed on other exchanges. The biggest difference, though, is the lack of SEC filing requirements. Pink Sheet companies DO NOT have to provide disclosure of their financial results and material information (though they are strongly encouraged by Pink Sheets LLC to do so). On the other hand, they aren’t forbidden to file these documents. Many company’s looking to move from the Pink Sheets to the OTCBB or AMEX or Nasdaq exchanges will begin reporting as a Pink Sheets company to get all their reporting infrastructure and audits done to begin the process of qualifying for the OTCBB or a larger stock exchange. Not true JonnyBeGood. ACT officially left the pink sheets years ago. Pinks don’t report. ACT is on the NASDAQ managed OTCBB. The Pink Sheets have been run by another company.
Pink Sheets is a privately owned company based in New York offering competing services to the OTCBB. Although it has been around for decades, it has only been operating as Pink Sheets LLC since June of 2000. What does this mean for the average OTC investor? OTCBB, while quoting unlisted investments, has slightly stricter rules, including financial reporting rules. Pink Sheets continues to quote investments that may be listed on the OTCBB but also investments that do not qualify to be posted there. For investors who love the excitement of higher risk investments but want slightly more safety that comes from stricter reporting requirements, the OTCBB is the quotation service to use. For investors who love the excitement of higher risk investments and want greater access should look at investments found on Pink Sheets.
