Acquisition Plan Development

• Interview client to identify the desired growth objectives

• Research and identify potential targets within the industry and determine the strategic fit with strategic acquirers

• Perform comparisons of the business to potential targets, its products and services, target markets and future growth opportunities

Deal Discussions with Potential Targets

• Initiate preliminary discussions with potential target companies on a confidential basis on behalf of the client to determine the level of interest from potential targets prior to disclosing the identity of the client

• Negotiate terms of non-disclosure agreements between the target companies and client

• Facilitate obtaining information necessary to assess a potential transaction

Negotiate the Deal Offer and Terms

• Assist client in formulating the deal offer, forms of consideration and terms of the transaction

• Facilitate deal communication between client and potential target companies or their sell-side investment banker

Raise Capital for Acquisition

• To the extent that additional capital is required to fund the transaction, we can also provide acquisition capital raising services, adding additional certainty regarding the transaction’s ability to be financed to both the client and the stakeholders of the target company.

Negotiate Deal Documents

• Negotiate the finer deal points of the purchase agreement with targets in accordance with the client’s desired objectives

• Assist the client’s advisors in documenting the transaction in the purchase agreement and related documents
