Crowdfunding, crowd financing, equity crowdfunding, or crowd sourced capital..describes a collective effort by people who..pool their money and resources together via the Internet, to support efforts initiated by other people or organizations. Crowdfunding can be used to fund a startup or existing company, or small business. We will describe new financing options and tools.
This webinar will provide a social investing summary of the JOBS Act, along with a summary of how investors and businesses can use the law to enter the Crowdfunding market. We will also review current developments.

The law targets emerging growth companies and defines them as an issuer with “total annual gross revenues of less than $1,000,000,000 (one billion dollars)..during its most recently completed fiscal
year.”
For potential investors, providing a platform for the sale of emerging company securities does not require registration as a Broker/Dealer, given certain exemption qualifications. To become a funding platform, vendors must fulfill 12 requirements. Equity issuers are subject to certain restrictions/limits. There are four trading restrictions and three exemptions. Issuers (Emerging Growth Companies) are liable for any untrue statements of material facts.
In addition, the SEC must make a special effort to reach out to women, veteran and minority firms.
The webinar will be conducted by William Michael Cunningham, a recognized expert in community development and socially responsible investing. He has testified before the House Ways and Means Committee and provided expert testimony on community development issues in Federal Court. Mr. Cunningham has been involved in the provision of online resources to small businesses for over fifteen years, posting his first website in 1995. In 2002, he created a proposal for an early version of Crowdfunding.
